1. Acceptance of Terms

By accessing or using the b.tech platform at app.boreal.technology or boreal.technology (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Platform.

These Terms constitute a binding legal agreement between you ("User" or "Customer") and Boreal Technology Inc., a Delaware corporation ("Company," "we," "us," or "our").

 

2. Description of Service

b.tech is a construction operations software platform designed to help specialty contractors, project managers, field crews, and construction teams manage projects from preconstruction through closeout. The Platform includes features for project onboarding, document management, product submittals, scheduling, field documentation, inventory visibility, time tracking, and team communication.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

 

3. Account Registration

To use the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain and promptly update your account information

  • Keep your login credentials secure and confidential

  • Notify us immediately at legal@boreal.technology if you suspect unauthorized access to your account

  • Accept responsibility for all activity that occurs under your account

You may not share your account credentials with others or create accounts on behalf of someone else without authorization.

 

4. Beta Program

The Platform may currently be offered in whole or in part as a beta product. Beta features are provided for evaluation and testing purposes. You acknowledge that:

  • Beta features may contain bugs, errors, or incomplete functionality

  • Beta features may be modified, removed, or replaced at any time

  • The Platform during beta is provided "as-is" without warranties of any kind

Separate beta participation agreements may govern additional terms for beta customers.

 

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform

  • Copy, reproduce, or resell any portion of the Platform without our written consent

  • Use the Platform to build a competing product or service

  • Attempt to gain unauthorized access to any part of the Platform or its infrastructure

  • Introduce viruses, malware, or other harmful code

  • Use the Platform in any way that violates applicable federal, state, or local law

  • Impersonate any person or entity or misrepresent your affiliation

  • Harvest or collect data from the Platform by automated means without our written consent

  • Use the Platform to transmit spam, unsolicited messages, or illegal content

6. Subscription and Payment

Access to the Platform requires a paid subscription. By subscribing, you agree to the following:

  • Subscriptions are billed on a monthly basis via Stripe, our third-party payment processor

  • Your subscription will automatically renew each billing period unless you cancel before the renewal date

  • You authorize us to charge your payment method on file for all applicable fees

  • Pricing is subject to change with at least 30 days written notice

  • All fees are non-refundable except as expressly stated in a separate agreement or required by law

  • If payment fails, we may suspend your access until payment is resolved

  • You are responsible for all applicable taxes

7. Intellectual Property

The Platform, including all software, code, workflows, designs, interfaces, content, and documentation, is owned by Boreal Technology Inc. and is protected by copyright, trademark, trade secret, and other intellectual property laws.

These Terms do not grant you any ownership interest in the Platform. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes during your active subscription.

You retain ownership of all data and content you submit to the Platform ("Customer Data"). 8. Feedback and Improvements

If you provide us with feedback, suggestions, ideas, or feature requests ("Feedback"), you agree that we may use that Feedback freely to improve the Platform without any compensation, attribution, or obligation to you. 9. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, available at boreal.technology/privacy-policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Confidentiality

You acknowledge that during your use of the Platform you may be exposed to non-public information about b.tech, including product features, roadmap, pricing, technical architecture, and business strategy ("Confidential Information"). 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT

  • WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE

  • IN NO EVENT SHALL BOREAL TECHNOLOGY INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES

12. Indemnification

You agree to indemnify, defend, and hold harmless Boreal Technology Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights.

 

13. Termination

Either party may terminate your account and access to the Platform:

  • You may cancel your subscription at any time through your account settings or by contacting us at legal@boreal.technology

  • We may suspend or terminate your account for violation of these Terms, non-payment, or for any reason with 30 days written notice

Upon termination:

  • Your right to access the Platform ceases immediately

  • You will have 30 days to export your Customer Data

  • After 30 days, your data will be permanently deleted from our systems

14. Dispute Resolution

We prefer to resolve disputes informally. Before initiating formal proceedings, both parties agree to attempt good-faith negotiation for at least 30 days after written notice of the dispute.

If good-faith negotiation fails, disputes will be resolved through the following process:

  1. Mediation — conducted in Phoenix, Arizona by a mutually agreed mediator

  2. Binding Arbitration — if mediation fails, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in Phoenix, Arizona

15. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. For matters relating to the corporate structure of Boreal Technology Inc., Delaware law governs.2.9.26 b.tech – Fundraising & Incorporation Summary.pdf+1

 

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.

 

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Beta Participation Agreement or Order Form, constitute the entire agreement between you and Boreal Technology Inc. regarding your use of the Platform and supersede any prior agreements or understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
